This Agreement is entered into effective as of  01/08/2026 by and between above listed company (“Customer”), and Rise Digital Strategies (“Company”). These Terms are collectively referred to as the "Agreement."

SERVICE SUBSCRIPTION AGREEMENT

This Agreement is between you (“Customer”) and Rise Digital Strategies (“Provider”). It starts on the date you sign below.

1. SERVICES INCLUDED

Provider agrees to give Customer access to a lead management system that includes:

• Lead capture and tracking
• Instant automated follow up messages to new inbound leads
• Missed call text back for incoming calls (Upon A2P approval, Rise Digital will set this up for you.)
• Centralized inbox for all messages (SMS, email, chat)
• Calendar scheduling and booking tools
• Lead pipeline management tool
• Website builder with lead capture and chat widget
• Automated support for online review requests and tracking

Provider will host, support, and maintain these services as part of the subscription.

2. ACCESS & USE

• Customer gets a username and password for the service.
• Customer may add authorized users at no extra charge unless otherwise stated.
• Customer must keep login details secure.
• Provider may suspend access if Customer violates terms or fails to pay.

3. SUBSCRIPTION FEES

• Customer agrees to monthly fees of $297, billed in advance each month.
• Billing will occur on the same day each month based on start date.
• Provider may increase fees at renewal with 30 days prior notice.

4. PAYMENT TERMS

• Provider charges Customer’s payment method on file.
• If payment fails, Provider will notify Customer. Provider may suspend access after 7 days of nonpayment.
• Fees are not refundable.

5. TERM & TERMINATION

• The subscription is a month to month agreement.
• Customer may cancel with 30 days written notice after the initial term.
• Provider may terminate service if Customer breaches terms.

6. SERVICE LEVEL & SUPPORT

• Provider will make the service available 24/7 except for planned maintenance or outages beyond Provider control.
• Provider offers support Monday through Friday, 9:00 AM to 5:00 PM EST.
• Provider will respond to support requests within 24 hours during normal support hours.

7. DATA & OWNERSHIP

• Customer retains all rights to its data entered or collected in the system.
• Provider will not rent or sell Customer data.
• Provider may use aggregate, anonymous data for internal improvement.

8. CONFIDENTIALITY

• Each party agrees not to share the other’s confidential information with outside parties.

9. LIMITATION OF LIABILITY

• Provider’s liability is limited to direct damages and capped at total subscription fees paid in the last 12 months.
• Provider is not liable for indirect, incidental, or consequential losses.

10. THIRD-PARTY SERVICES

• The system may integrate with third-party tools (email, SMS carriers, etc.). Provider is not responsible for outages or restrictions imposed by these third parties.

11. GOVERNING LAW

• This Agreement is governed by the laws of the state where Provider is located (North Carolina).

BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STATED HEREIN INCLUSIVE OF ALL ITEMS ON THIS SERVICE AGREEMENT.
